Agreement to Terms
These Terms of Service ("Terms") constitute a binding agreement between you ("Client," "User," or "You") and Frank Ricci Design, a sole proprietorship (Ditta Individuale) owned by Cristian Pesenti, located in Calvagese della Riviera (BS), Italy, P.IVA IT04191270984 ("Company," "We," "Us," or "Our").
By accessing our website, purchasing digital products, engaging in design services, enrolling in FRD Academy, or purchasing merchandise, you agree to be bound by these Terms. If you do not agree with any provision, you must not use our services. These Terms are governed by Italian law.
1. Services Overview
Frank Ricci Design provides the following services:
- Custom Automotive Wrap Design: Bespoke wrap designs for vehicles, tailored to client specifications.
- Digital Design Products: Pre-designed assets, templates, and downloadable design files.
- FRD Academy: Online education courses covering design techniques, wrap design fundamentals, and digital tools.
- Merchandise: Branded apparel, accessories, and physical products.
2. Digital Products
2.1 Non-Refundable Downloads
All digital products (design files, templates, presets, courses, and educational materials) are non-refundable once downloaded. By purchasing and downloading a digital product, you acknowledge that you have had the opportunity to review the product description, preview, and specifications before purchase.
2.2 License & Usage Rights
When you purchase a digital product, you receive a personal, non-exclusive, non-transferable license to use the product for your own purposes. You may not resell, distribute, modify, or claim ownership of the product without explicit written permission from Frank Ricci Design.
2.3 Intellectual Property
All digital products are protected by copyright. Unauthorized reproduction, distribution, or modification is prohibited and subject to legal action.
3. Custom Design Services
3.1 Quotation & Agreement
Custom design projects (wrap design, consultation, bespoke graphics) require a formal quote. Once a quote is accepted and payment is received, a binding service agreement is formed. The final scope of work will be documented in writing.
3.2 Revision Policy
Custom design services include a specified number of revision rounds as outlined in the project agreement. Additional revisions beyond the included number may incur additional fees. The final design delivery includes a maximum of 3 revision rounds by default unless otherwise agreed in writing.
3.3 Timeline & Delivery
Project timelines are outlined in the service agreement. Frank Ricci Design commits to delivering work within the agreed timeframe. Delays due to client feedback, revisions, or unavailable information may extend the timeline. Expedited delivery may be available upon request with additional fees.
3.4 Client Responsibilities
Clients agree to provide accurate project specifications, reference materials, vehicle dimensions, and timely feedback during the revision process. Delays in providing required information may impact delivery timelines.
4. FRD Academy Courses
4.1 Course Access & Enrollment
By enrolling in an FRD Academy course, you agree to the course-specific terms. Courses are provided as-is with access to video lessons, downloadable resources, and community support (where applicable).
4.2 Course Materials
Course materials are protected by copyright and are for your personal educational use only. You may not share, resell, or distribute course content to third parties.
4.3 Refunds & Cancellation
Refunds for course enrollments may be issued within 14 days of purchase if the course has not been substantially accessed (less than 25% completion). Refund requests after this period will not be honored unless there are exceptional circumstances at the sole discretion of Frank Ricci Design.
4.4 Account Suspension
Frank Ricci Design reserves the right to suspend or terminate course access if Terms are violated, including unauthorized sharing of materials or disruptive behavior in course communities.
5. Intellectual Property Rights
5.1 Ownership of Designs
All custom designs created by Frank Ricci Design remain the exclusive property of Frank Ricci Design until full payment is received. Once payment is complete, ownership is transferred to the client according to the terms outlined in the service agreement.
5.2 Usage Rights
Upon full payment, the client receives the right to use the design for the agreed-upon purpose (e.g., vehicle wrap application, promotional use). Frank Ricci Design retains the right to use completed designs for portfolio, marketing, and promotional purposes unless explicitly prohibited in writing by the client.
5.3 Third-Party IP
Clients guarantee that any reference materials, logos, or content provided by the client for use in the design do not infringe on third-party intellectual property rights. Frank Ricci Design is not responsible for IP violations resulting from client-provided content.
6. Payment Terms
6.1 Pricing & Fees
All prices are quoted in Euros (EUR) unless otherwise stated. Prices include design work and revisions as specified in the agreement. Additional services, expedited delivery, or revision rounds beyond the agreement may incur additional fees.
6.2 Payment Methods
Frank Ricci Design accepts payments via Stripe, supporting major credit cards, bank transfers, and digital payment methods. Payments are processed securely and subject to Stripe's terms and conditions.
6.3 Payment Schedule
For custom design projects, a deposit or full payment may be required before work begins. Payment terms will be specified in the project quote. Outstanding invoices must be paid within 30 days of invoice date.
6.4 Currency & Taxes
All prices are in Euros (EUR). Italian VAT (IVA) may apply depending on your location and tax status. The final invoice will include applicable taxes.
7. Limitation of Liability
7.1 As-Is Disclaimer
All services and products are provided "as-is" without warranties of any kind, either express or implied. Frank Ricci Design does not warrant that services will be error-free, uninterrupted, or meet all client expectations.
7.2 Limitation of Damages
In no event shall Frank Ricci Design be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from the use or inability to use our services, even if advised of the possibility of such damages.
7.3 Maximum Liability
Frank Ricci Design's total liability for any claim arising from these Terms shall not exceed the amount paid by the client for the specific service or product in question.
7.4 Client Indemnification
Clients agree to indemnify and hold harmless Frank Ricci Design from any claims, damages, or losses arising from client-provided content, misuse of designs, or violation of third-party intellectual property rights.
8. Merchandise
8.1 Order & Fulfillment
Merchandise orders are processed and shipped according to the timeline specified at checkout. Frank Ricci Design uses reputable logistics partners for delivery. Shipping times are estimates and not guaranteed.
8.2 Returns & Exchanges
Merchandise may be returned within 30 days of delivery if unopened and in original condition. Damage due to customer mishandling is not eligible for return. Return shipping costs are the responsibility of the customer unless the return is due to Frank Ricci Design error.
8.3 Defective Products
If merchandise arrives damaged or defective, contact us within 7 days with photographic evidence. Frank Ricci Design will replace the item or issue a full refund at our discretion.
9. Website Use & Conduct
9.1 Permitted Use
You agree to use our website only for lawful purposes and in a way that does not infringe upon the rights of others or restrict their use and enjoyment of the website. Prohibited behavior includes:
- Harassing, threatening, or defaming other users.
- Distributing spam, viruses, or malicious code.
- Scraping, crawling, or automatically extracting website content.
- Circumventing security or accessing unauthorized areas.
- Violating applicable laws or regulations.
9.2 Content Removal
Frank Ricci Design reserves the right to remove any user-generated content, comments, or submissions that violate these Terms or applicable law.
10. Disclaimer of Warranties
Frank Ricci Design makes no warranty that the website will be error-free, secure, or uninterrupted. We do not guarantee specific results from our services or that your expectations will be met. The website and all services are provided "as-is" without warranty of any kind.
11. Governing Law & Jurisdiction
These Terms of Service are governed by and construed in accordance with Italian law, specifically the laws of the Republic of Italy. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the Italian courts, with venue in Brescia, Italy.
12. Dispute Resolution
Before pursuing legal action, both parties agree to attempt resolution through good-faith negotiation or mediation. If a dispute cannot be resolved informally, either party may pursue legal remedies as permitted under Italian law.
13. Modifications to Terms
Frank Ricci Design reserves the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of our services after modifications constitutes acceptance of the updated Terms.
14. Severability
If any provision of these Terms is found to be invalid or unenforceable under Italian law, the remaining provisions shall continue in full force and effect.

16. Entire Agreement
These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Frank Ricci Design regarding your use of our services and products. They supersede all prior agreements, understandings, and representations.
